Organizer Terms of Service

These terms govern how organizers use VenueTix to create events, sell tickets, receive payouts, and manage attendees.

1. Scope and Platform Role

These Organizer Terms of Service govern use of VenueTix by organizers, promoters, venues, and other sellers that create events, list tickets, and receive payouts through the platform.

VenueTix provides ticketing, payment, account, and software services. Unless VenueTix expressly agrees otherwise in writing for a specific product or program, the organizer remains the seller of record for its ticket sales and the party responsible for the event itself.

By creating an organizer account, listing events, accepting payments, or using payout services, you agree to these Organizer Terms, the VenueTix Privacy Policy, and any incorporated payment processor terms presented during onboarding.

2. Organizer Authority, Compliance, and Listings

You represent that you have authority to create listings, sell admissions, bind the organizer to these terms, and operate each event lawfully in every jurisdiction where you market or conduct it.

You are responsible for event accuracy, lawful operation of your events, permits, venue compliance, customer support for event-specific issues, and compliance with consumer law and applicable licensing obligations.

You must maintain accurate event details, pricing, inventory, policies, refund terms, and contact information at all times.

3. Payment Processing, Stripe, and Payout Setup

Paid events may require a connected payout account and successful payment onboarding. VenueTix may use Stripe or another payment provider to process transactions, verify your identity, collect required onboarding information, and send payouts.

You must complete all requested KYC, KYB, tax, bank, and verification steps and keep that information current. VenueTix may share organizer identity, business, tax, and payout information with payment providers and compliance partners where necessary to operate the service.

Where Stripe Connect is used, you may also be required to accept the applicable Stripe Connected Account Agreement and related services terms during onboarding before receiving payouts.

4. Payouts, Holds, Reserves, Setoff, and Negative Balances

VenueTix may deduct platform fees, payment-related costs, refunds, reversals, disputes, chargebacks, reserves, or other agreed amounts before or after payout. VenueTix may also delay, withhold, or condition payouts where fraud, abuse, regulatory risk, account review, insufficient information, or unresolved customer claims require investigation.

VenueTix may establish reserves, hold funds until event completion, set off losses or liabilities against future payouts, or require you to reimburse negative balances, chargebacks, processor fines, or refund shortfalls arising from your events.

If VenueTix advances or releases funds before an event is completed, that early settlement remains subject to later reversal, reserve, reimbursement, and setoff rights.

5. Taxes and Regulatory Responsibility

The organizer is solely responsible for determining, collecting, reporting, and remitting taxes that apply to its event sales unless VenueTix expressly agrees to act as merchant of record or tax collector for a designated product or program.

You must provide accurate tax registration information, tax settings, and event tax classifications where requested, and you remain responsible for the legal correctness of those inputs and the issuance of any required receipts or tax invoices.

VenueTix may collect and retain seller information where required for payment, compliance, risk review, tax reporting, or digital platform reporting obligations.

6. Refunds, Event Changes, and Buyer Claims

You are responsible for your published refund policy and for honoring refunds, credits, reschedules, and cancellation obligations required by your policy or by law.

VenueTix may process refunds, ticket invalidations, credits, and related payment actions in accordance with your settings, your instructions, applicable law, payment-provider requirements, or platform risk controls.

If your event is cancelled, postponed, materially changed, or not performed and the funds available are insufficient to cover required refunds, you remain responsible for the shortfall and must reimburse VenueTix on demand.

7. Chargebacks, Disputes, and Payment Losses

You are responsible for chargebacks, reversals, payment disputes, processor fines, fraud losses, and related costs attributable to your events, listings, fulfilment, conduct, or refund handling.

VenueTix may investigate and respond to disputes in its discretion, but any assistance does not transfer ultimate financial responsibility away from you where the loss is attributable to your event or operations.

You authorize VenueTix to recover these amounts through reserves, payout deductions, setoff, debits, invoice collection, or other lawful recovery methods.

8. Attendee Data, Marketing, and Privacy

You may only use buyer and attendee data for legitimate event operations such as ticket fulfilment, admission management, customer support, safety, and legally required recordkeeping.

You may not sell attendee data or use it for independent marketing unless you have obtained all legally required consents and honour all unsubscribe and privacy rights. Transactional ticketing messages and marketing communications must be treated separately.

VenueTix may process organizer and buyer data to operate the platform, manage payment risk, comply with law, investigate fraud, and improve product performance.

9. Prohibited Events and Acceptable Use

You may not use VenueTix for unlawful, deceptive, infringing, unsafe, abusive, or fraudulent events or transactions. VenueTix may remove listings, suspend organizer tools, or restrict access where policy, payment, trust-and-safety, or legal concerns arise.

You may not manipulate inventory, create misleading listings, evade fees, misuse customer data, use bots or circumvention tools, or interfere with payment-provider rules or platform security.

10. Suspension, Termination, and Survival

VenueTix may suspend listings, payouts, or access where there is fraud risk, excessive disputes, policy violations, legal exposure, or payment-provider action. VenueTix may also require additional information or remediation before restoring access.

Termination does not eliminate your responsibility for refunds, disputes, taxes, fees, reimbursement obligations, data misuse claims, or other pre-existing liabilities.
